The JOBS Act and Early-Stage Company Fundraising

How does SEC implementation of the JOBS Act impact the fundraising efforts of early-stage life sciences companies?

The JOBS Act and subsequent SEC regulations were aimed at enhancing capital formation opportunities for emerging growth companies. The provisions aimed at public offerings (the “IPO On Ramp”) have had a beneficial effect on the biotech industry with a robust public offering market emerging in the wake of the JOBS Act. Other provisions aimed at capital formation at earlier stages, most notably crowdfunding and a relaxation of the ban on general solicitation, have been slower to emerge as factors in capital access for the biotech companies.

Join us as Ken Eheman reviews the provisions of the JOBS Act and its implementation by the SEC. Mr. Eheman will explain how young companies might benefit from these opportunities, and also explain some of the unintended consequences that might limit the practical use of the provisions in fundraising activities and potentially hamper fundraising efforts. This discussion will be of particular interest to management/founders of young biotech/life science companies who are preparing for fundraising or are actively seeking capital. Attendees will walk away with a basic and practical understanding of how these new regulations will impact their capital formation activities.
